Parties and Supply

This agreement is entered into by Northwind Studio (the "Vendor") and Acme Co (the "Buyer") for the goods or services described below. Replace the sample details with the specifics of the items supplied, order cadence, and delivery locations before signing.

Recitals

The Buyer wishes to source goods or services from the Vendor on recurring purchase orders under a single master set of terms. The Vendor has the capacity, quality controls, and delivery capability to supply those goods or services on the schedule agreed below. This agreement supersedes any prior verbal or written understanding on the same subject.

Supply and Standards

Each order runs through three steps so the Buyer and Vendor share a common view of expectations from PO to acceptance.

STEP 1 · ORDERING

Ordering

The Buyer issues a purchase order referencing catalog SKUs, quantities, delivery address, and required date. The Vendor confirms in writing within two business days, flagging any capacity or lead-time exceptions.

STEP 2 · FULFILLMENT

Fulfillment and delivery

The Vendor prepares the order, meets the agreed quality standards, and ships or delivers to the address on the PO. Tracking information and packing lists are shared with the Buyer's receiving contact.

STEP 3 · ACCEPTANCE

Acceptance and returns

The Buyer inspects the delivery within five business days. Non-conforming items may be rejected in writing; the Vendor arranges collection and replacement or credit at no additional cost within the agreed window.

Vendor obligations

Supply goods or services that meet the agreed specifications and applicable regulations
Maintain valid business licenses, permits, and insurance coverage throughout the term
Notify the Buyer in advance of any change that affects specifications, pricing, or lead times
Provide reasonable warranty coverage on delivered goods against defects
Comply with the Buyer's supplier code of conduct on request

Not included: installation services, on-site training, extended warranty beyond the standard window, and custom items not listed on the catalog. New scope can be added in writing at any time.

Pricing and Payment

Pricing follows the Vendor's catalog with a volume discount applied against total spend during the term. Line items below are illustrative and apply to a sample first order.

Term and Termination

The initial term is 12 months and renews automatically for 12-month periods unless either party gives 60 days' written notice before renewal. Either party may terminate for a material breach that is not cured within 30 days of written notice. Open POs at termination are honored under these terms.

About this template

The Vendor Contract template is a five-page document for putting a supply relationship on paper before the first PO is issued. It carries a supply overview with stat cards, recitals, a three-step order process, a sample first-order table, and an acceptance page with inputs and signatures.
