UX Contract

A design services contract between Northwind Studio and Acme Co covering research, product design, and UI delivery.

Parties and Project

This agreement is entered into by Northwind Studio (the "Designer") and Acme Co (the "Client") for the UX design services described below. Replace the sample details with the specifics of the product, user segments, and target platforms before signing.

Recitals

The Client wishes to engage the Designer to research, design, and deliver a UX solution for the product described above. The Designer has the research and product-design capabilities to deliver that solution on the schedule agreed below. On acceptance, the Client owns the design deliverables; the Designer retains rights to underlying methods, templates, and general know-how.

Scope and Deliverables

The engagement runs across three phases. Each closes with a written deliverable and a review meeting before the next begins.

What is included

• Stakeholder and user interviews with a written synthesis
• Wireframes, hi-fi UI, and a documented component library
• One round of usability testing on the primary flow
• Developer handover and annotated specs
• Two weeks of implementation support after handover

Not included: visual identity or brand work, motion design, front-end implementation, and recruiting or incentives for research participants. New scope can be added in writing at any time.

Fees and Revisions

The engagement is a fixed-fee design project billed against the three phases. Additional flows or research rounds are quoted separately.

Payment Schedule

Revisions

Each phase includes two rounds of consolidated feedback from the Client's approver. Additional rounds or scope changes discovered during design are logged, quoted, and added to the engagement in writing before work continues.

Acceptance

To proceed, complete the fields below and sign. This proposal is valid for 30 days from the date on the cover.
