Simple Contract

A short-form contract between Northwind Studio and Acme Co covering scope, fees, and terms for a straightforward engagement.

Parties and Purpose

This contract is entered into by Northwind Studio (the "Provider") and Acme Co (the "Client") for the work described below. It's a short-form contract designed for straightforward engagements where a full master agreement is not needed.

Recitals

The Client wishes to engage the Provider for a straightforward, one-off engagement. Both parties want a clear contract that captures scope, fees, and terms without overloading a small project with unnecessary boilerplate. This contract does exactly that.

Scope of Work

The engagement runs across three light phases. Each closes with a written checkpoint so both parties can confirm direction before continuing.

What is included

• One kickoff call and short written summary
• One round of revisions on the deliverable
• Final deliverable in the agreed format
• 30-minute handoff call if needed
• Ownership of the final deliverable upon payment

Not included:ongoing support, additional revisions, and any work beyond the agreed deliverable. New scope can be added in writing at any time.

Fees and Terms

The engagement is a fixed fee, billed 50% on signature and 50% on delivery. No retainer is charged.

Payment Schedule

Invoices are due within 14 days. Either party may cancel with written notice; work completed to date is invoiced pro rata against the fixed fee.

Acceptance

To proceed, complete the fields below and sign. Work begins on the agreed start date after the deposit is received.
