Service Agreement

A ready-to-sign service agreement between Northwind Studio and Acme Co covering services, deliverables, and commercial terms, designed for clean PDF export.

Parties and Effective Date

This service agreement is entered into by Northwind Studio (the "Provider") and Acme Co (the "Client") and takes effect on the date shown on the acceptance page. It is written to print cleanly to PDF for archival, procurement filing, or attachment to a purchase order.

Recitals

The Client wishes to engage the Provider to deliver the services described in this agreement, and both parties want a single signed PDF on file that captures scope, fees, and terms. This agreement supersedes any prior verbal or written understanding on the same subject.

Scope of Services

The engagement runs across three phases. Each closes with a written checkpoint that both parties acknowledge before the next phase begins.

What is included

• Confidentiality and non-disclosure covering all shared information
• Assignment of IP in delivered work to the Client upon final payment
• Mutual limitation of liability capped at fees paid in the prior 12 months
• Force majeure covering events beyond reasonable control
• Governing law and dispute resolution stated on the acceptance page

Not included:ongoing maintenance beyond the 30-day support window, third-party subscription fees, and travel. New scope can be added in writing at any time.

Fees and Payment

Fees for the initial term are set out below. Any additional work agreed in writing will be added to the next monthly invoice or quoted separately as agreed.

Payment Schedule

Invoices are due within 30 days. Either party may terminate for cause on material breach not cured within 30 days, or for convenience with 60 days' written notice.

Acceptance

To confirm the engagement, complete the fields below and sign. Once countersigned, this agreement can be exported to PDF as the signed record on file.
