Service Agreement

A general services agreement between Northwind Studio and Acme Co covering the services, deliverables, and commercial terms of the engagement.

Parties and Engagement

This agreement is entered into by Northwind Studio (the "Provider") and Acme Co (the "Client") for the services described below. It sets the working terms for the engagement; specific deliverables can be added or refined in writing at any time.

Recitals

The Client wishes to engage the Provider to deliver the services described in this agreement. The Provider brings the expertise and capacity to deliver those services in the agreed timeframe. Both parties agree to the terms on the following pages and consider this agreement to supersede any prior arrangement on the same subject.

Scope of Services

The engagement runs across three phases. Each closes with a written checkpoint and a review meeting with the Client's point of contact.

What is included

• Kickoff workshop and written project plan
• Weekly status updates and a named point of contact
• Two rounds of revision on each primary deliverable
• Working files and documentation at handoff
• Two weeks of post-delivery support

Not included:ongoing maintenance, third-party subscription fees, and travel. New scope can be added in writing at any time.

Fees and Payment

The engagement is a fixed monthly fee for the duration of the term. Kickoff is billed as a one-time line item on countersignature.

Payment Schedule

Invoices are due within 15 days. Either party may cancel after the initial 6-month term with 30 days' written notice.

Acceptance

To confirm the engagement, complete the fields below and sign. This agreement is valid for 30 days from the date on the cover.
