Self-Employed Contract

An independent contractor agreement between Northwind Studio and Acme Co confirming self-employed status, scope of services, and terms of engagement.

Parties and Self-Employed Status

This contract is entered into by Northwind Studio (the "Contractor") and Acme Co (the "Client"). The Contractor is engaged as an independent, self-employed provider. Nothing in this contract creates an employer-employee, partnership, or agency relationship.

Scope of Services

Services are grouped into three ongoing areas. Specific deliverables are agreed in writing at the start of each month; the Contractor determines the method and hours needed to complete them.

What is included

• Delivery of the services agreed at kickoff
• Weekly written check-in and monthly review meeting
• Use of Contractor's own equipment and software
• Confidentiality and IP assignment on delivered work
• Right to subcontract with prior written notice

Not included:paid time off, sick pay, pension contributions, employee benefits, and expenses that have not been pre-approved in writing.

Fees and Terms

Fees are billed monthly in arrears. The Contractor issues an invoice on the last business day of each month.

Payment Schedule

Invoices are due within 14 days. Either party may terminate with 30 days' written notice. Sums earned up to the termination date are payable within 30 days of the final invoice.

Acceptance
