Sales Agency Agreement

A sales representation agreement between Northwind Studio and Acme Co appointing an agency to solicit orders on the Principal's behalf.

Parties and Appointment

This agreement is entered into by Northwind Studio (the "Principal") and Acme Co (the "Agent"). The Principal appoints the Agent as its non-exclusive sales representative in the territory defined below. The Agent solicits orders on the Principal's behalf; all orders are subject to acceptance by the Principal.

Recitals

The Principal manufactures or supplies the products listed in the schedule and wishes to extend its sales reach in the territory. The Agent has established buyer relationships and the capacity to represent the Principal to those buyers. Both parties agree to the appointment, commission structure, and terms in this contract.

Scope of Representation

The Agent's duties run across three activity areas throughout the term of the agreement.

What is included

• Represent the Principal's products truthfully and only per approved materials
• Do not represent competing products without the Principal's prior written consent
• Maintain confidentiality of pricing, customer data, and product information
• Comply with all applicable laws in the territory, including anti-bribery rules
• Carry appropriate professional liability insurance

Commissions and Terms

The Agent is compensated on commission against net invoiced revenue from accepted orders in the territory. No retainer is payable.

Payment Schedule

Commissions are calculated on cash actually received by the Principal. Cancelled, refunded, or bad-debt orders are excluded. Either party may terminate for cause on material breach not cured within 30 days.

To confirm the appointment, complete the fields below and sign. Territory and product schedule are attached as exhibits and referenced by this signature block.
