BOOK CONTRACT
This agreement is entered into by Northwind Studio (the "Publisher") and Acme Co (the "Author") for the publication of the work described below. The Author warrants the work is original and that all rights necessary to enter into this contract are held by the Author.

The Author has written or will complete a book-length work suitable for publication. The Publisher wishes to publish and distribute that work under the terms of this agreement. Both parties agree to the manuscript delivery, editorial process, rights grant, and royalty structure set out on the following pages.

BOOK CONTRACT
The work moves through three phases from manuscript to shelf. Each phase closes with a written checkpoint and, where relevant, an Author sign-off on the deliverable.
PHASE 1 · MANUSCRIPT DELIVERY
The Author delivers the complete manuscript in the agreed format by the delivery date. On delivery, the Author grants the Publisher exclusive worldwide English-language rights in print and eBook for the term of copyright, plus non-exclusive audio rights.
PHASE 2 · EDITORIAL AND PRODUCTION
Developmental edit, copy edit, and proofread with the Author's review at each stage. Cover design and interior typesetting are managed by the Publisher; the Author has approval rights on the final cover, title, and subtitle.
PHASE 3 · PUBLICATION AND MARKETING
Print run, ISBN registration, distribution to trade channels, eBook release, and the launch marketing plan. The Author agrees to participate in reasonable promotional activity within the first 90 days of publication.

The Author receives an advance against future royalties, paid in three installments. Royalties are earned once the advance has been fully earned out.

Royalties are accounted for semi-annually with statements delivered within 60 days of period close. The Author may audit the Publisher's books once per calendar year on 30 days' notice.
