Proofreading Contract

A proofreading engagement between Northwind Studio and Acme Co covering copy review, corrections, and final quality-assurance pass on the Client's manuscript.

Parties and Manuscript

This contract is entered into by Northwind Studio (the "Proofreader") and Acme Co (the "Client") to proofread the manuscript described below. Word count is estimated at signature; any material change to length requires a written adjustment before delivery.

Recitals

The Client has completed authoring and needs a professional proofread before publication. The Proofreader offers a final quality-assurance pass focused on typos, punctuation, consistency, and style-guide adherence, not developmental or line editing. Both parties agree to the scope, fees, and timeline set out in this contract.

Scope of Work

The engagement runs across three phases. Each closes with a written checkpoint so the Client can see progress and confirm style choices.

What is included

• Style-sheet development and sample proofread
• Full proofread of up to 60,000 words
• Tracked changes and margin queries in Word or Google Docs
• Clean-up pass after query resolution
• Final clean copy and updated style sheet

Not included:developmental editing, line editing, rewriting, fact-checking, indexing, and typesetting. Additional passes or word count are billed at the standard per-word rate.

Fees and Payment

The engagement is a fixed fee based on the estimated word count. Overage is billed at the per-word rate below.

Payment Schedule

Invoices are due within 15 days. The 3-week turnaround starts the day the final manuscript is received.

Acceptance

To proceed, complete the fields below and sign. The turnaround window begins the day the final manuscript is received.
