Professional Services Retainer

A monthly retainer agreement between Northwind Studio and Acme Co covering a reserved block of professional services hours per month.

Parties and Retainer

This retainer is entered into by Northwind Studio (the "Provider") and Acme Co (the "Client"). The Provider reserves a fixed block of hours per month against agreed work categories, prioritized above ad-hoc project work in the Provider's queue.

Recitals

The Client wants ongoing access to the Provider's team for advisory and delivery work across recurring categories. The retainer converts that need into a predictable monthly capacity commitment with priority queuing, without requiring a new statement of work for each task.

Scope and Ways of Working

The retainer runs in a recurring monthly rhythm across three phases. Categories and priorities are set jointly at the start of each month.

What is included

• Reserved capacity of 40 hours per month, priority-queued
• Slack or email access to the retainer team during business hours
• Monthly planning and review calls
• Shared request queue with live time tracking
• Named engagement lead for the duration of the term

Not included:multi-week projects that require a dedicated SOW, after-hours support, and travel. Unused hours do not roll over month to month; overage is billed at the standard hourly rate.

Fees and Terms

The retainer is billed monthly in advance. Overage hours are billed monthly in arrears at the rate below.

Payment Schedule

Invoices are due within 15 days. After the initial 6-month term, either party may cancel with 30 days' written notice. Unused hours expire at the end of each calendar month.

Acceptance

To activate the retainer, complete the fields below and sign. The first month's fee is invoiced on countersignature and the reserved capacity begins the following calendar month.
