PRODUCT DEVELOPMENT AGREEMENT

Product Development Agreement

An engineering build agreement between Northwind Studio and Acme Co covering software product development, delivery, and IP assignment.

Parties and Engagement

This agreement is entered into by Northwind Studio (the "Developer") and Acme Co (the "Client") for the design and development of the software product defined in the attached specification. All source code, technical documentation, and deployment artifacts are assigned to the Client upon final payment.

Recitals

The Client wishes to engage the Developer to build a software product that meets the requirements captured in discovery. The Developer holds the engineering capacity, tooling, and delivery process to build and ship that product to production. This agreement supersedes any prior verbal or written understanding on the same subject.

Scope of Work

The build runs across three phases. Each closes with a working deployment, a written summary, and a review meeting with the Client's product owner.

What is included

• Dedicated pod of product, engineering, and QA
• CI/CD pipeline, staging environment, and production deployment
• Automated test coverage on all critical paths
• Technical documentation and API reference
• 30 days of post-launch hypercare

Not included:ongoing hosting and third-party service fees, marketing site build, mobile native app, and post-hypercare maintenance retainer. New scope can be added in writing at any time.

Investment

The build is a fixed-fee engagement billed against the three phases. Line items below map to the phases in the scope of work.

Payment Schedule

Invoices are due within 15 days. The engagement runs approximately 20 weeks from kickoff, subject to the start month you provide on the acceptance page.

Acceptance

To proceed, complete the fields below and sign. This agreement is valid for 30 days from the date on the cover.
