PPC MANAGEMENT CONTRACT

Parties and Engagement

This agreement is entered into by Northwind Studio (the "Agency") and Acme Co (the "Client") for paid search and paid social management. The Agency will operate the Client's ad accounts under a delegated-access model; the Client remains the owner of all ad accounts, creative, and audience data.

MEDIA BUDGET

$25k/mo

Client-funded media, billed directly by the ad platforms.

TERM

6 months

Initial term, renewing month-to-month unless cancelled.

Recitals

The Client wishes to engage the Agency to plan, launch, and optimize paid media campaigns against the goals defined during onboarding. The Agency holds the platform expertise, tooling, and team capacity to run those campaigns. This contract supersedes any prior verbal or written understanding on the same subject.

Scope of Services

Work is delivered in three recurring phases. Phase 1 runs once at onboarding; Phases 2 and 3 repeat each month for the duration of the term.

PHASE 1 · ACCOUNT AUDIT AND STRATEGY

Account audit and strategy

Access review, historical performance audit, competitor and keyword research, conversion tracking validation, and a 90-day media plan with target CPA and ROAS by channel and campaign.

PHASE 2 · CAMPAIGN OPERATIONS

Campaign operations

Weekly bid, budget, and audience adjustments, ad copy and creative iteration, negative keyword hygiene, landing page recommendations, and pacing against the monthly media budget.

PHASE 3 · REPORTING AND REVIEW

Reporting and review

Live dashboard, monthly written performance report, and a 45-minute review call to align on next month's tests, creative needs, and budget shifts.

What is included

Management of Google Ads, Meta Ads, and one additional agreed channel
Up to 8 ad variants and 2 landing page recommendations per month
Conversion tracking review and tag validation
Weekly pacing check-ins and a monthly review call
Slack or email access to the account team during business hours

Not included:creative production beyond copy iteration, landing page development, CRM integration, and media spend itself. New scope can be added in writing at any time.

Fees and Media Budget

Management fees are billed monthly in advance. Media spend is paid by the Client directly to the ad platforms and does not pass through the Agency.

Invoices are due within 15 days. Either party may cancel after the initial 6-month term with 30 days' written notice. Pause requests are honored once per year for up to 30 days.
