PAYMENT PLAN AGREEMENT
This agreement is entered into by Northwind Studio (the "Payee") and Acme Co (the "Payer") to set out how an existing outstanding balance will be paid over time. The plan replaces the original due date on the underlying invoice or account; the amount owed remains unchanged unless stated otherwise below.

The Payer owes the Payee the balance identified on the acceptance page for services or goods already delivered. Rather than treating the balance as overdue, both parties agree to a structured plan under which the balance is paid in installments on the schedule below. In exchange, the Payee agrees to pause any collection actions while the Payer stays current on the plan.

The plan runs in three parts: how much, when, and how. All three must line up for the plan to hold.
PART 1 · AMOUNT
Each installment is equal in size, calculated as the total balance divided by the number of installments. The final installment is adjusted to close out any rounding difference so the total paid matches the balance exactly.
PART 2 · TIMING
The first installment is due on signing. Each subsequent installment is due on the same day each month thereafter, up to and including the final payment date on the acceptance page.
PART 3 · METHOD
Payments are made by the method named on the acceptance page (ACH, card, wire, or check). The Payer authorizes automatic collection where an ACH or card method is selected, and agrees to keep valid payment details on file for the duration of the plan.
Early payoff: the Payer may pay off the remaining balance at any time without penalty, at which point the plan ends.

If the plan is declared in default, the Payee may resume ordinary collection activity for the full remaining balance, including any late fees accrued. Nothing in this agreement waives the Payee's rights under the original invoice or account beyond the concessions made in this plan.
This agreement is the entire understanding between the parties on how the balance will be paid. It can only be amended by a written instrument signed by both parties. It does not create a new debt; it restructures how the existing balance is paid. Governing law is the law that governed the underlying invoice or account.
