Company and Underlying Agreement

This amendment (the "Amendment") is adopted by the members of Northwind Studio (the "Company"). It amends the Company's operating agreement (the "Operating Agreement") originally adopted on the date identified on the acceptance page. All defined terms not defined here have the meanings set in the Operating Agreement.

Recitals

The members adopted the Operating Agreement on the date named at the acceptance page. Since then, circumstances have changed (for example, a new member has joined, ownership has shifted, or the management structure has evolved), and the members want to amend the Operating Agreement to reflect the current state of the Company.

Amended Sections

The sections below replace the corresponding sections in the Operating Agreement. All other sections of the Operating Agreement remain in full force and effect.

CHANGE 1 · MEMBERSHIP AND OWNERSHIP

Amended membership schedule

The membership schedule attached to the Operating Agreement is replaced by the updated schedule below. Any new members admitted through this Amendment agree to be bound by the Operating Agreement as if they had signed it originally.

CHANGE 2 · MANAGEMENT AND AUTHORITY

Amended management structure

The management structure section of the Operating Agreement is replaced with the structure named on the acceptance page (member-managed or manager-managed), including the names of any newly appointed or removed managers.

CHANGE 3 · DISTRIBUTIONS OR OTHER TERMS

Amended distributions or specified terms

Any other section referenced on the acceptance page is amended as described there. This can include distribution mechanics, transfer restrictions, buy-sell mechanics, or governing law. Only the sections explicitly referenced are amended.

Unchanged Provisions

All sections of the Operating Agreement not listed above remain in force
All defined terms continue to have the same meanings as in the Operating Agreement
All prior amendments remain in force to the extent not inconsistent with this Amendment
This Amendment does not release any party from obligations accrued before its effective date

Conflict: if any part of this Amendment conflicts with the Operating Agreement, the terms of this Amendment control for the amended sections only.

Filings and Third-Party Notices

By signing below, the members reaffirm the Operating Agreement as amended by this Amendment and agree that it, together with the Operating Agreement, represents their complete understanding on the amended matters.
