Parties and Engagement

This agreement is entered into by Northwind Studio (the "Consultant") and Acme Co (the "Client") for a short, defined consulting engagement. It is intentionally lightweight so both parties can move quickly, while still covering the essentials: scope, fees, ownership, and termination.

The Client wants a focused consulting engagement to answer a specific question or ship a specific artifact, without setting up a long-term relationship. The Consultant will deliver against the named scope, share their thinking in the open, and hand off cleanly at the end.

Scope and Deliverables

The engagement runs in three light-touch phases across four weeks. Each closes with a written artifact so progress is visible.

WEEK 1 · DISCOVERY

Discovery and framing

One 60-minute kickoff, a short list of stakeholder interviews, and a written framing document that captures the question, the constraints, and the shape of the answer.

WEEKS 2 - 3 · WORKING PHASE

Working phase

The Consultant does the analysis or production work, shares progress in a shared document, and holds two 30-minute checkpoints so the Client can steer before the final week.

WEEK 4 · FINAL DELIVERABLE

Final deliverable and handover

A final written deliverable (memo, plan, or artifact as scoped), a 60-minute readout with the Client's team, and one round of light revisions to reflect that conversation.

Fees, Ownership and Terms

The engagement is a fixed-fee project billed in two invoices. Payment terms are net 15.

Ownership and Confidentiality

On receipt of payment, the Client owns the final written deliverable outright. The Consultant retains ownership of internal templates and general know-how used to produce the work. Both parties treat information shared under this engagement as confidential for three years after it ends.

Independent Contractor and Termination

The Consultant is an independent contractor, not an employee, and is responsible for their own taxes and insurance. Either party may terminate this agreement with 7 days' written notice; fees are due for work delivered up to the termination date.
