Non-Disclosure Agreement

A mutual non-disclosure agreement between Northwind Studio and Acme Co covering the protection of confidential information shared while evaluating a potential relationship.

Parties and Purpose

This agreement is entered into by Northwind Studio and Acme Co (each a "Party" and together the "Parties") to protect confidential information the Parties may share while evaluating the purpose described on the acceptance page.

Recitals

The Parties are exploring a potential business relationship and expect to exchange non-public information about their products, customers, roadmaps, or operations. Both Parties want to make sure that information stays inside the relationship, is only used for the stated purpose, and is returned or destroyed when the evaluation ends.

Confidential Information and Obligations

The Parties agree on what is protected, how it can be used, and what falls outside these obligations.

Standard obligations of both Parties

• Use confidential information only for the stated purpose
• Limit access to employees and advisors who need it, under similar obligations
• Do not reverse engineer, decompile, or attempt to derive underlying source material
• Do not use the other Party's name, marks, or logos without written consent
• Return or destroy confidential information within 30 days of a written request

Required disclosure: if disclosure is compelled by law, the Receiving Party will, where legally allowed, give prompt notice so the Disclosing Party can seek a protective order.

Term, Remedies and General Terms

This agreement is a standalone document with no fee, but the reference table below records the standard commercial parameters both Parties expect if the discussions lead to a paid engagement.

Remedies

The Parties agree that unauthorized use or disclosure of confidential information may cause harm that money alone cannot repair. In that case, the affected Party is entitled to seek injunctive relief in addition to any other remedies available under law.

General

This agreement is the entire understanding between the Parties on this subject and supersedes any prior discussions. It does not create an employment, agency, or partnership relationship, and does not obligate either Party to enter into any further business dealings. Governing law is set on the acceptance page.

Acceptance

To bring this NDA into effect, complete the fields below and sign. The agreement is effective on the later of the two signature dates.
