This agreement is entered into by Northwind Studio and Acme Co (each a "Party" and together the "Parties") to protect confidential information the Parties may share while evaluating the purpose described on the acceptance page.

The Parties are exploring a potential business relationship and expect to exchange non-public information about their products, customers, roadmaps, or operations. Both Parties want to make sure that information stays inside the relationship, is only used for the stated purpose, and is returned or destroyed when the evaluation ends.

NON-DISCLOSURE AGREEMENT
The Parties agree on what is protected, how it can be used, and what falls outside these obligations.
PART 1 · DEFINITION
Any non-public information disclosed in writing, verbally, or by observation that a reasonable person would treat as confidential, including product designs, code, customer lists, financials, roadmaps, pricing, and operational data.
PART 2 · USE AND CARE
The Receiving Party will use confidential information only for the stated purpose, protect it with the same care it uses for its own sensitive information (and no less than reasonable care), and share it only with employees or advisors who need it and are bound by similar obligations.
PART 3 · EXCLUSIONS
Information that is or becomes public without breach, was already known to the Receiving Party without an obligation of confidentiality, is independently developed without use of the confidential information, or is rightfully received from a third party without restriction.
Required disclosure: if disclosure is compelled by law, the Receiving Party will, where legally allowed, give prompt notice so the Disclosing Party can seek a protective order.

The Parties agree that unauthorized use or disclosure of confidential information may cause harm that money alone cannot repair. In that case, the affected Party is entitled to seek injunctive relief in addition to any other remedies available under law.
This agreement is the entire understanding between the Parties on this subject and supersedes any prior discussions. It does not create an employment, agency, or partnership relationship, and does not obligate either Party to enter into any further business dealings. Governing law is set on the acceptance page.
