Monthly Retainer Contract

A monthly retainer agreement between Northwind Studio and Acme Co covering ongoing services, hour allowances, and how the relationship is renewed.

Parties and Retainer

This agreement is entered into by Northwind Studio (the "Provider") and Acme Co (the "Client") for ongoing services under a monthly retainer. The retainer buys a defined allowance of hours and a named team each month, on a rolling basis until terminated.

Recitals

The Client wants ongoing, predictable access to the Provider's team without renegotiating scope for every request. The retainer reserves capacity each month; both parties agree that unused hours reflect reserved capacity, not banked entitlement, and do not accumulate beyond the month.

Services and Ways of Working

Work is organized around three service tiers that share the same monthly rhythm.

What is included

• Dedicated account contact and named delivery team
• 40 hours of retained capacity across the Provider's team each month
• One business day response window during business hours
• Monthly written report of hours used, work delivered, and next month's plan
• Shared backlog and roadmap visible to both teams

Not included: third-party subscriptions and licenses, travel, on-call outside business hours, and hours above the monthly allowance (billed as overage). Unused hours do not carry into the following month.

Fees and Terms

The retainer is billed as a flat monthly fee, in advance. Overage hours are invoiced separately at the end of the month at the rate below.

Payment Schedule

Term and Termination

The retainer starts on the effective date and renews automatically each month. Either party may terminate with 30 days' written notice. The current month's retainer is not refundable; hours reserved for that month remain available until the end of the notice period.

Confidentiality

Both parties treat information shared under this contract as confidential and use it only to deliver the services. This obligation continues for two years after the end of the retainer.

Acceptance

To start the retainer, complete the fields below and sign. Onboarding is scheduled within one week of signature.
