Marketing Agency Contract

An agency services agreement between Northwind Studio and Acme Co covering strategy, execution, and reporting across marketing channels.

Parties and Engagement

This agreement is entered into by Northwind Studio (the "Agency") and Acme Co (the "Client") for ongoing marketing services. The Agency acts as an extension of the Client's marketing function, planning and executing campaigns across the channels defined in this contract.

Recitals

The Client wants a dedicated agency partner to own strategy and execution across its core marketing channels. The Agency will operate against a jointly agreed plan, propose changes based on performance, and report transparently on results each month.

Services and Deliverables

Work runs on a quarterly planning cycle with monthly execution and reporting. Each quarter closes with a written recap and a fresh plan for the next.

What is included

• Dedicated account lead and named specialist team across each channel
• Quarterly written marketing plans and monthly campaign calendars
• Creative, copy, and landing pages required to run agreed campaigns
• Monthly written performance report and 60-minute leadership review
• Shared dashboard for real-time visibility into channel performance

Not included: paid media spend, third-party tool subscriptions, PR retainers, influencer talent fees, and video production. New scope can be added in writing at any time.

Fees and Commercial Terms

The engagement is billed as a monthly retainer covering strategy, execution, and reporting. Paid media spend is billed separately at cost against approved budgets.

Payment Schedule

Term and Termination

The initial term is 12 months from kickoff, then continues month to month. Either party may terminate at any time with 30 days' written notice. Fees for the current billing month remain due; work in flight is handed over cleanly.

Confidentiality and Ownership

Both parties treat information shared under this contract as confidential. On receipt of payment, the Client owns the final campaign assets produced for its brand; the Agency retains ownership of internal templates, tools, and processes used to deliver the work.

Acceptance

To start the engagement, complete the fields below and sign. Kickoff is scheduled within two weeks of signature.
