This agreement is entered into by Northwind Studio (the "Designer") and Acme Co (the "Client") for the design of a primary logo and a small identity toolkit. Replace the sample details with the specifics of your project before signing.

The Client is engaging the Designer to develop a primary logo mark and a compact identity toolkit for use across digital and print applications. Both parties agree that a clear brief, timely feedback, and honest input are essential to arriving at a mark the Client is proud to use for years.

The project runs in three phases. Each closes with a written deliverable and a review before the next phase begins.
PHASE 1 · DISCOVERY AND DIRECTION
Kickoff call, brand questionnaire, and a short moodboard or direction document that captures the audience, tone, and visual territory the logo should live in. Approval of the direction unlocks concept design.
PHASE 2 · CONCEPTS AND REFINEMENT
Three distinct logo concepts presented in context (light, dark, small size). The Client selects one direction, which is then refined across two revision rounds until the mark is signed off.
PHASE 3 · FINAL FILES AND TOOLKIT
Final logo files in vector and raster formats (SVG, PDF, PNG) in primary, monochrome, and reversed lockups, plus a one-page usage sheet with clear space, minimum size, color values, and don'ts.
Not included: full brand identity systems, packaging design, website design, illustration, motion, and print production. New scope can be added in writing at any time.

The project is a fixed-fee engagement billed across the three phases. Line items map directly to the deliverables in the scope of work.

On receipt of final payment, the Client owns the approved final logo and usage sheet outright, worldwide, for all commercial and non-commercial uses. Unused concepts and working files remain the Designer's property. Either party may show the final work in a portfolio unless the Client requests otherwise in writing.

The Logo Design Contract template is a five-page document for putting the arrangement on paper before it starts.
