Parties and Retainer

This agreement is entered into by Northwind Studio (the "Studio") and Acme Co (the "Client") for a recurring interior design retainer covering ongoing projects, sourcing, and site visits. Recitals

The Client owns or manages properties that require ongoing design attention across small projects, replacements, and refreshes. The Studio will reserve monthly capacity to serve those needs on a priority basis. Both parties agree to the scope, fees, and terms in this retainer, which supersedes any prior verbal or written understanding on the same subject.

Scope of Services

The retainer covers three ongoing service tracks, briefed through a shared intake and reviewed on a monthly cadence with the Client.

TRACK 1 · DESIGN REQUESTS

Design requests

Room refreshes, small renovations, styling updates, and one-off product recommendations. Each request is scoped in hours before work begins and reviewed against the reserved monthly capacity.

TRACK 2 · SOURCING AND PROCUREMENT

Sourcing and procurement

Trade sourcing, quotes, and coordination with vendors. The Studio may procure on the Client's behalf at trade prices; a 15% procurement fee applies to items purchased through the Studio.

TRACK 3 · SITE VISITS AND OVERSIGHT

Site visits and oversight

Two site visits per month for measure-ups, install oversight, or contractor coordination within the local service area. Written recap after every visit with actions and owners.

How the retainer works

Requests are submitted through the Client's shared workspace and reviewed within one business day
Each request is scoped in hours and confirmed before work begins
Two rounds of revisions per deliverable are included
Unused hours do not roll over; overage up to 20% billed at the retainer rate
Monthly review meeting to align priorities for the next month

Not included: full-home renovations that exceed 40 hours in a month, architectural work, structural changes, permits, and travel outside the local service area. New scope can be added in writing at any time.

Investment

The retainer is billed monthly in advance and reserves 32 studio hours and two site visits per month.
