Parties and Overview

This agreement is entered into by Northwind Studio (the "Company") and Acme Co (the "Contractor") in connection with a separate services agreement between the parties. The Contractor accesses confidential information and client relationships the Company treats as legitimate business interests.

Objectives

• Protect confidential information and client relationships.
• Limit direct competition during the restricted period.
• Prevent solicitation of Company clients and employees.
• Preserve Contractor's independence in unrelated work.

Scope and Deliverables

The restrictions cover competitive activity, client and employee solicitation, and confidentiality during and after the engagement.

What is included

• Non-compete restriction in the Company's category
• Non-solicit of clients, prospects, and employees
• Confidentiality during and after the engagement
• Signing bonus paid as consideration on execution

Not included: restrictions on unrelated categories, work with the Contractor's own existing clients, and personal projects outside the Company's category. Nothing in this agreement limits work that is not competitive with the Company.

Fees and Payment

The restrictions are supported by the consideration below and the continued engagement under the separate services agreement between the parties.

Payment Schedule

Invoices are due within 15 days. Nothing in this agreement changes the Contractor's status as an independent contractor.

Acceptance

To proceed, complete the fields below and sign. This contract is valid for 30 days from the date on the cover.
