Website Development Agreement

An agreement from Northwind Studio covering the design, build, and launch of the Client's new website.

Parties and Overview

This agreement is entered into by Northwind Studio (the "Developer") and Acme Co (the "Client") for the website project described below. All final code and design assets transfer to the Client on receipt of full payment.

Objectives

• Ship a website that meets the agreed design and scope.
• Deliver clean, documented code the Client can extend.
• Keep decisions moving with clear phase gates.
• Transfer full ownership on receipt of final payment.

Scope and Deliverables

The project runs across three phases. Each closes with a demo, a written acceptance, and a payment milestone before the next begins.

What is included

• Design and clickable prototype for every unique template
• Front-end build with responsive implementation
• CMS configuration and content migration
• QA, launch, and post-launch monitoring

Not included: copywriting, stock or custom photography, hosting fees, third-party integrations beyond those listed, and ongoing maintenance. Additional scope is added via written change order.

Fees and Payment

The engagement is a fixed-fee project billed across the three phases. Ongoing maintenance is available under a separate retainer.

Payment Schedule

Invoices are due within 15 days. Rights in the source code and design assets transfer on receipt of the final payment.

Acceptance

To proceed, complete the fields below and sign. This contract is valid for 30 days from the date on the cover.
