An agreement between Northwind Studio and Acme Co covering the freelance services described in the scope of work, with clear terms, fees, and payment schedule.

Parties and Overview

This agreement is entered into by Northwind Studio (the "Freelancer") and Acme Co (the "Client") for the engagement described below. It sets out the key terms, deliverables, fees, and acceptance required to move forward.

Background

The Client wishes to engage the Freelancer on the terms described in this contract. Both parties confirm they have the authority to enter this agreement and that it supersedes any prior verbal or written understanding on the same subject.

Scope of Work

The engagement runs across three phases. Each closes with a written deliverable and a review before the next begins.

What is included

• Kickoff call and written project brief
• Delivery of the scoped work with mid-project checkpoint
• Two revision rounds per deliverable
• Handoff of final files in the requested formats

Not included: new deliverables added after the brief is signed, stock assets, third-party licensing, and on-going maintenance after handoff. New scope can be added in writing at any time.

Fees and Payment

The fees below cover the scope of work in the previous section. Payment terms are set out in the schedule that follows.

Payment Schedule

The Client owns the delivered work on final payment. Kill fees for cancelled projects are prorated to the phase completed at the time of cancellation.

Acceptance

To proceed, complete the fields below and sign. This agreement is valid for 30 days from the date on the cover.
