Equipment Sales Agreement

An agreement between Northwind Studio and Acme Co covering the sale and delivery of the equipment described below on the terms and warranties that follow.

Parties and Overview

This agreement is entered into by Northwind Studio (the "Seller") and Acme Co (the "Buyer") for the engagement described below. It sets out the key terms, deliverables, fees, and acceptance required to move forward.

Background

The Buyer wishes to engage the Seller on the terms described in this contract. Both parties confirm they have the authority to enter this agreement and that it supersedes any prior verbal or written understanding on the same subject.

Scope of Work

The engagement runs across three phases. Each closes with a written deliverable and a review before the next begins.

What is included

• Equipment as described in the fee table
• Standard shipping to the Buyer's delivery address
• Manufacturer warranty documentation
• Installation instructions and operator manuals

Not included: on-site installation, training, extended warranty, and any state or local taxes. New scope can be added in writing at any time.

Fees and Payment

The fees below cover the scope of work in the previous section. Payment terms are set out in the schedule that follows.

Payment Schedule

Title and risk of loss pass to the Buyer on delivery and cleared final payment. Any claims for shortage or damage in transit must be raised within seven days of delivery.

Acceptance

To proceed, complete the fields below and sign. This agreement is valid for 30 days from the date on the cover.
