Electronic Contract

An agreement between Northwind Studio and Acme Co covering the electronic execution of the agreement described below, together with the terms and signatures required to make it binding.

Parties and Overview

This agreement is entered into by Northwind Studio (the "Sender") and Acme Co (the "Counterparty") for the engagement described below. It sets out the key terms, deliverables, fees, and acceptance required to move forward.

Background

The Counterparty wishes to engage the Sender on the terms described in this contract. Both parties confirm they have the authority to enter this agreement and that it supersedes any prior verbal or written understanding on the same subject.

Scope of Work

The engagement runs across three phases. Each closes with a written deliverable and a review before the next begins.

What is included

• Electronic signature blocks with time and identity capture
• Full audit trail of every action on the document
• Delivery of a signed copy to both parties
• Retention of the executed document in the parties' records

Not included: notarization, apostilles, and any specific formalities required by non-U.S. jurisdictions. New scope can be added in writing at any time.

Fees and Payment

The fees below cover the scope of work in the previous section. Payment terms are set out in the schedule that follows.

Payment Schedule

The contract is governed by the laws of the state agreed by the parties. Amendments must be in writing and signed electronically by both parties.

Acceptance

To proceed, complete the fields below and sign. This agreement is valid for 30 days from the date on the cover.
