This agreement is entered into by Northwind Studio (the "Sender") and Acme Co (the "Counterparty") for the engagement described below. It sets out the key terms, deliverables, fees, and acceptance required to move forward.

SECTION 1 · PARTIES AND SCOPE
Identifies the Sender and Counterparty and describes the transaction or service the electronic contract covers.
SECTION 2 · TERMS
Sets out the material terms, deliverables, obligations, and any conditions to performance under this contract.
SECTION 3 · EXECUTION
Confirms that the parties intend to sign electronically, that both parties consent, and that a copy of the executed contract is delivered to each party.
Not included: notarization, apostilles, and any specific formalities required by non-U.S. jurisdictions. New scope can be added in writing at any time.
