Development Service Agreement

An agreement between Northwind Studio and Acme Co covering ongoing development services, monthly capacity, and the terms under which the Developer works with the Client.

Parties and Overview

This agreement is entered into by Northwind Studio (the "Developer") and Acme Co (the "Client") for the engagement described below. It sets out the key terms, deliverables, fees, and acceptance required to move forward.

Background

The Client wishes to engage the Developer on the terms described in this contract. Both parties confirm they have the authority to enter this agreement and that it supersedes any prior verbal or written understanding on the same subject.

Scope of Work

The engagement runs across three phases. Each closes with a written deliverable and a review before the next begins.

What is included

• 120 development hours per month
• Weekly demos and monthly planning sessions
• Bug fixes, dependency upgrades, and business-hours incident response
• Monthly written status report and burn-down

Not included: 24/7 on-call, security audits, penetration testing, and third-party service fees. New scope can be added in writing at any time.

Fees and Payment

The fees below cover the scope of work in the previous section. Payment terms are set out in the schedule that follows.

Payment Schedule

The initial term is 12 months. After the initial term the agreement auto-renews month-to-month. Either party may cancel with 30 days' written notice.

Acceptance

To proceed, complete the fields below and sign. This agreement is valid for 30 days from the date on the cover.
