DEVELOPMENT SERVICE AGREEMENT
This agreement is entered into by Northwind Studio (the "Developer") and Acme Co (the "Client") for the engagement described below. It sets out the key terms, deliverables, fees, and acceptance required to move forward.
MONTHLY CAPACITY
120 hours
Development hours held on the Developer's calendar each month.
SPRINT LENGTH
2 weeks
Iteration cadence with a demo and a written status update.
TERM
12 months
Initial term with 30-day rolling renewal after month twelve.
The Client wishes to engage the Developer on the terms described in this contract. Both parties confirm they have the authority to enter this agreement and that it supersedes any prior verbal or written understanding on the same subject.

DEVELOPMENT SERVICE AGREEMENT
The engagement runs across three phases. Each closes with a written deliverable and a review before the next begins.
PHASE 1 · ONBOARDING
Repo, environment, and tooling access; introductions to the Client team; and a written playbook covering branching, review, and deploy conventions.
PHASE 2 · ONGOING DEVELOPMENT
Sprint-based delivery against the shared backlog, weekly demos, and monthly planning with the Client's product lead.
PHASE 3 · MAINTENANCE AND SUPPORT
Bug fixes, dependency upgrades, incident response during business hours, and a monthly written status report.
Not included: 24/7 on-call, security audits, penetration testing, and third-party service fees. New scope can be added in writing at any time.

The initial term is 12 months. After the initial term the agreement auto-renews month-to-month. Either party may cancel with 30 days' written notice.

Who owns the code? The Client owns the source code and IP developed under this agreement on payment for each sprint.
