DEVELOPMENT CONTRACT
This agreement is entered into by Northwind Studio (the "Developer") and Acme Co (the "Client") for the engagement described below. It sets out the key terms, deliverables, fees, and acceptance required to move forward.

The Client wishes to engage the Developer on the terms described in this contract. Both parties confirm they have the authority to enter this agreement and that it supersedes any prior verbal or written understanding on the same subject.

DEVELOPMENT CONTRACT
The engagement runs across three phases. Each closes with a written deliverable and a review before the next begins.
PHASE 1 · DISCOVERY
Kickoff workshop, technical discovery, architecture decisions, and a written project plan with acceptance criteria for each deliverable.
PHASE 2 · BUILD
Sprint-based development against the plan, weekly demos, and integration with the Client's systems and third-party services as needed.
PHASE 3 · QA AND HANDOFF
End-to-end testing, bug triage, production release, documentation, and a 30-day support window for defect fixes after launch.
Not included: third-party service fees, ongoing hosting, new features scoped after the plan is signed, and content or copywriting. New scope can be added in writing at any time.

The Client owns the delivered source code on final payment. Change requests are scoped and quoted before work begins on any addition.

The Development Contract template is a five-page document for putting an engagement between the Developer and the Client on paper before work begins. It carries an overview with stat cards, a three-phase scope of work, a fee table with a computed total and payment schedule, and an acceptance page with inputs and signatures.
It is intentionally simple: rename what needs renaming in Bonsai, edit the scope and fees to match your engagement, and send. Merge fields handle the party details and date, and the last page collects the fields you need plus both signatures.

Who owns the code? The Client owns the delivered source code and IP on final payment; the Developer retains rights to any pre-existing tooling.
What if the scope changes? Change requests are scoped, priced, and added in writing before work begins. Larger changes may require a new sprint.
Is hosting included? No — hosting, domains, and third-party service fees are billed to the Client directly or passed through at cost.
