CORPORATE BYLAWS
These bylaws govern the internal affairs of Northwind Studio (the "Corporation") and are adopted by the Board of Directors. They cover shareholder meetings, board composition, officers, and the day-to-day rules by which Acme Co operates as the incorporating entity.

FISCAL YEAR
Calendar
The fiscal year of the Corporation ends December 31 unless changed by the Board.
The Corporation is organized to conduct any lawful business permitted under its certificate of incorporation. These bylaws are the internal rulebook that supplements the certificate and applicable state corporate law.

Governance is organized across three tracks. Each has its own meeting cadence, quorum, and voting rules.
ARTICLE I · SHAREHOLDERS
Annual meeting held within 180 days of the fiscal year end. Special meetings may be called by the Board or by shareholders holding at least 20 percent of voting shares, on 10 days' written notice.
ARTICLE II · DIRECTORS
Between three and seven directors, elected annually by the shareholders. Regular meetings quarterly, special meetings on 48 hours' notice, and action by written consent permitted.
ARTICLE III · OFFICERS
The Board appoints a President, Secretary, and Treasurer at a minimum. Officers serve at the pleasure of the Board and their duties are set out in Article III.
